Poundland is reportedly facing a growing risk of insolvency after its major shareholder, Gordon Brothers, declined to back a solvent takeover proposal from Martin Property Group.

Three directors appointed to oversee the sale process are reported to be prepared to resign. Sky News reported that the trio had “expressed disquiet at what appeared to be attempts by Gordon Brothers to manoeuvre Poundland towards an insolvency process”.

Gordon Brothers, which took control of Poundland in 2025 for a nominal £1, is understood to believe that a £30m shareholder loan is more likely to be repaid in full if the retailer is broken up.

Terms of the dispute

According to Sky News, Martin Property Group’s proposal would have preserved the business as a going concern, while repaying the shareholder loan under its existing terms rather than immediately. Gordon Brothers is understood to have concerns about the structure and funding of the offer.

If insolvency proceedings materialise, it would represent a significant blow to UK high streets. Poundland operates around 600 stores and employs approximately 12,000 people. The retailer has struggled to improve profitability despite efforts to turn the business around amid stiff competition from discount rivals and growing cost pressures.

Can it still be saved?

Sources told Sky News that hopes of a rescue deal could yet be revived if a revised offer is submitted within the next 48 hours.

There is also understood to be at least one other solvent bid on the table, from Irish firm Innovest Holdings. Meanwhile, several retailers are reported to be interested in acquiring parts of the business should a break-up proceed.

A spokesperson for Gordon Brothers told Sky News: “As well as interest from buyers for the whole business, the sale process has also surfaced a number of formal and indicative offers for significant viable parts of the business from established retail operators.

“These options will now be objectively evaluated, with a view to minimising uncertainty for Poundland’s people and all relevant stakeholders.”
